These Terms of Service (“Terms”) govern your access to and use of By Night Studios corporate websites, including bynightstudios.com and related studio-operated informational web properties (the “Sites”), and the content made available through them.

By accessing or using the Sites, you agree to these Terms. If you do not agree, do not use the Sites.

Separate terms may apply to purchases, accounts, digital downloads, event tickets, travel packages, character systems, Discord communities, and other services operated through shop.bynightstudios.com, darknessemergent.com, authorized partners, or third-party platforms. Those terms control for those services.

1. Who we are

The Sites are operated by By Night Studios. Questions about these Terms may be sent to support@bynightstudios.com.

2. Informational nature of the Sites

The Sites provide general information about By Night Studios, our books, live experiences, products, news, community resources, and related studio activities. Content is provided for general informational purposes and may change without notice.

Product availability, pricing, shipping, taxes, digital access, event dates, ticket terms, hotel or travel packages, character rules, and schedule details should be confirmed on the relevant operational site at the time of purchase or registration.

3. Eligibility

The Sites and By Night Studios community spaces are intended for users who are at least 18 years of age. By using the Sites, you represent that you meet this requirement and have the legal capacity to agree to these Terms.

4. Acceptable use

You agree not to:

• Use the Sites in any unlawful, fraudulent, harassing, abusive, or harmful manner
• Attempt to gain unauthorized access to systems, accounts, data, or networks
• Interfere with or disrupt the Sites, servers, or security features
• Scrape, harvest, or systematically extract content except as expressly permitted by us or applicable law
• Impersonate any person or entity or misrepresent your affiliation with By Night Studios
• Upload or transmit malware, spam, or other malicious code
• Use the Sites to violate our community, social media, ethics, or other published policies

We may suspend or terminate access to the Sites, without notice, if we reasonably believe you have violated these Terms or related policies.

5. Intellectual property

Unless otherwise noted, the Sites and their content—including text, graphics, logos, layout, design, photographs, video, trademarks, and other materials—are owned by By Night Studios or its licensors and are protected by intellectual-property and other laws.

By Night Studios, Darkness Emergent, Mind’s Eye Theatre, and related studio marks are trademarks or trade names of By Night Studios or its licensors. World of Darkness, Vampire: The Masquerade, and related marks are trademarks of their respective owners. Nothing on the Sites grants you any license to use any mark, copyrighted work, or other proprietary material except as expressly permitted in writing or by mandatory law.

You may view and temporarily cache pages from the Sites for personal, non-commercial use. You may not copy, modify, distribute, publicly display, sell, or create derivative works from Site content without prior written permission, except for ordinary browser caching, linking, or fair-use rights that cannot be waived under applicable law.

6. User submissions

If you send us ideas, feedback, press requests, business proposals, or other materials, you grant By Night Studios a non-exclusive, worldwide, royalty-free license to use that material for the purpose of evaluating and responding to your communication and operating our business, unless a separate written agreement says otherwise. Please do not send confidential information you do not want reviewed by our team.

7. Third-party links and services

The Sites may link to third-party websites, shops, ticketing systems, travel partners, social platforms, and tools. We do not control and are not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.

8. No professional advice

Content on the Sites is not legal, medical, financial, safety, or professional advice. Event safety tools, codes of conduct, and community guidelines are provided for informational and operational purposes and do not create any special relationship beyond what is stated in the applicable event or community terms.

9. Disclaimers

THE SITES AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the fullest extent permitted by law.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BY NIGHT STUDIOS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITES OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct where such limitation is prohibited.

11. Indemnification

You agree to defend, indemnify, and hold harmless By Night Studios and its officers, directors, employees, contractors, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your misuse of the Sites, your violation of these Terms, or your violation of any third-party right.

12. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference.

13. Related policies

Additional studio policies may apply to your interactions with By Night Studios, including our AI Usage Policy, Ethics and Inclusion Policy, Social Media Policy, and Terms of Community. Those policies are available from the Site footer and are incorporated where applicable.

14. Changes

We may update these Terms from time to time. The “Last updated” date shows the latest revision. Continued use of the Sites after changes become effective constitutes acceptance of the revised Terms, except where applicable law requires otherwise.

15. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where mandatory consumer-protection laws of your jurisdiction provide otherwise. Exclusive venue for disputes arising out of these Terms or the Sites shall lie in the state or federal courts located in Florida, except where prohibited by law.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. These Terms constitute the entire agreement between you and By Night Studios regarding the Sites and supersede prior agreements on that subject, except for separate written agreements covering shop, event, licensing, or other specific services.
